This is an agreement between you (“you”) and Hungry Tribe Inc.  d/b/a Nutrivise (“Nutrivise”) and your use of this Web Site and the services provided thereon (the “Services”) confirms your acknowledgement and acceptance of these terms of use (the “Terms of Use”). 
YOUR USE OF THE WEB SITE CONSTITUTES YOUR ACKNOWLEDGEMENT THAT YOU HAVE READ THESE TERMS OF USE, UNDERSTAND THEM AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS HEREIN. 
Subscription and Payment
If you purchase a paid subscription to the Services (a “Subscription”), you shall pay all fees, including for any additional Services purchased by you, as well as any taxes, applicable to such Subscription, as published on the Web Site at from time to time. Nutrivise may change such fees at any time and in its sole discretion, provided that any such change shall become effective at the end of the then-current term of your Subscription.
Subscription membership in the Services is on a continuous service basis. This means that, subject to the terms of this Agreement, Nutrivise will automatically renew your Subscription at the end of its term unless your Subscription is canceled using the tool on your profile page on the Web Site at any time prior to the end of the then-current Subscription. You will be charged a renewal rate equal to the rate for the immediately preceding Subscription period, unless Nutrivise has notified you of any new rate in advance. A cancellation of a Subscription requested by you through your profile page will become effective on the date that the then-current Subscription period expires.
If you have elected to pay the fees referred to in this section (Subscription and Payment) by credit card, you hereby warrants that the credit card information you provided is correct, and you shall promptly notify Nutrivise of any changes to such credit card information. You acknowledge and agree that if your credit card payment cannot be processed for any reason, Nutrivise may suspend or cancel your Subscription.
Ownership and Intellectual Property
You acknowledge that all information, content, reports, data, databases, graphics, web pages, text, files, software, trade-marks, logos (“Material”) including the manner in which the Material is displayed or presented on the Web Site is owned solely and exclusively by Nutrivise or its licensors. Except as permitted by the Terms of Use, no Material on the Web Site may be reproduced or modified in any manner without the prior written consent of Nutrivise, or the applicable owner.
Use Of Material
Nutrivise grants and authorizes you to a personal, non-exclusive and non-transferable license to access, read and download the Material. You agree that your access to the Web Site and use of the Material is strictly for your personal, private, internal and non-commercial end-use only. Except as otherwise provided herein, you may not sell or modify the Material or reproduce, display, publicly perform, distribute, or otherwise use the Material in any way for any public purpose. The use or display of the Material on any other Web site for any purpose is expressly prohibited.
Rules of Conduct
As a condition of use, you promise not to use the Web Site or any Services for any purpose that is prohibited by these Terms of Use. You are responsible for all of your activity in connection with the Service.
By way of example, and not as a limitation, you shall not (and shall not permit any third party to) either (a) take any action or (b) upload, download, post, submit or otherwise distribute or facilitate distribution of any content on or through the Web Site, including without limitation any Service, that:
infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any other person or entity or violates any law or contractual duty;
you know is false, misleading, untruthful or inaccurate;
is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, profane, contains or depicts nudity, contains or depicts sexual activity, promotes bigotry, discrimination or violence, or is otherwise inappropriate as determined by Nutrivise in its sole discretion;
constitutes unauthorized or unsolicited advertising, junk or bulk e-mail ("spamming");
contains software viruses or any other computer codes, files, worms, logic bombs or programs that are designed or intended to disrupt, disable, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password or other information of Nutrivise or any third party;
impersonates any person or entity, including any employee or representative of Nutrivise;
includes anyone's identification documents or sensitive financial information; or
breaches any of the other policies and rules incorporated herein.
You shall not (directly or indirectly):
take any action that imposes or may impose (as determined by Nutrivise in its sole discretion) an unreasonable or disproportionately large load on Nutrivise's (or its third party providers') infrastructure;
interfere or attempt to interfere with the proper working of the Web Site or any activities conducted on the Web Site, including the provision of Services;
bypass any measures Nutrivise may use to prevent or restrict access to the Web Site (or other accounts, computer systems or networks connected to the Web Site);
run any form of auto-responder or "spam" on the Web Site or through any Service;
use manual or automated software, devices, or other processes to "crawl" or "spider" any page of the Web Site;
harvest or scrape any content from the Web Site;
modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, republish, repurpose, sell, trade, or in any way exploit the Web Site, any Service or content (other than your submissions), except as expressly authorized by Nutrivise;
decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Web Site (including without limitation any Service), except to the limited extent applicable laws specifically prohibit such restriction;
copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder; or
otherwise take any action in violation of Nutrivise’s guidelines and policies.
Monitoring & Privacy
Nutrivise may from time to time, but is not obligated to, monitor your use of the Web Site and collect, store and use information (including your IP address) for internal use only for quality assurance and testing of the Web Site, and you hereby consent to such collection and use and waive any right to privacy that you might have in respect of same to the maximum extent permitted by law.
The Web Site may contain links to or integrations with other sites such as Facebook, Twitter, LinkedIn, etc., whose information practices may be different than ours. You should consult the other sites' privacy notices as we have no control over information that is submitted to, or collected by, these third parties. Specifically, without limitation, any interaction with Facebook® products or services through the Web Site or any Service are governed by the terms and conditions of any agreement you entered into with Facebook® to gain access to such products or services. Except as otherwise provided herein, Nutrivise is not a party to any such agreements and is not liable or otherwise responsible for the information, including any personal information, you have provided to Facebook® through the Web Site, any Service, or otherwise. 
If you are a California resident, you have the right to receive: a) information identifying any third party companies to whom Nutrivise may have disclosed, within the past year, personal information pertaining to you and your family for that company's direct marketing purposes; and b) a description of the categories of personal information disclosed. To obtain such information, please email your request to privacy@hungrytribe.com.
Use At Your Own Risk
You acknowledge and agree that your use of the Web Site and the Material is at your own risk. Nutrivise shall not be liable for any loss, injury, harm or damages whatsoever that may arise, directly or indirectly in any connection with your use of the Web Site, including any access to, the use of or browsing of the Web Site or in connection with any Material on the Web Site, or in connection with the transmission or downloading of any Material from the Web Site, including but not limited to anything caused by any transmission defects, viruses, human or machine error or omission, bugs, malfunction of any computer system, phone line, hardware, software or program malfunctions, or any other errors, failures or delays in computer transmissions or network connections. The Material is provided for informational purposes only and should not be interpreted as a recommendation for any specific product or service or course of action or professional advice.
 Nutrivise's Liability
The Material may contain inaccuracies or typographical errors. Nutrivise makes no representations or warranties about the accuracy, reliability, completeness, or timeliness of the Material or about the results to be obtained from using the Web Site and the Material. Changes are periodically made to the Web Site and/or the Material and may be made at any time.
YOU AGREE THAT THE WEB SITE AND MATERIAL ARE PROVIDED ON AN "AS IS" BASIS, AND IS FOR YOUR PRIVATE, INTERNAL AND NON-COMMERCIAL END-USE ONLY WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND. NUTRIVISE, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL EXPRESS OR IMPLIED CONDTIONS, REPRESENTATIONS AND WARRANTIES, INCLUDING IMPLIED WARRANTIES, THE WARRANTY OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES RIGHTS, AND THE WARRANTY OF FITNESS FOR PARTICULAR PURPOSE.

Although the Web Site may be linked to other sites, you agree that Nutrivise is not, directly or indirectly, indicating or implying any approval, association, recommendation, sponsorship, endorsement or affiliation by Nutrivise of, or with, the linked web site whatsoever. You acknowledge and agree that Nutrivise has not reviewed any web sites linked to the Web Site and is not, in any manner or to any extent, responsible for the content of any web sites that are linked to the Web Site. Your linking to any other web sites from the Web Site is entirely at your sole discretion and risk.
Indemnity
You agree to defend, indemnify, and hold harmless Nutrivise, its officers, directors, employees, professional advisors and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your access of the Web Site, your use of the Material or your breach of the Terms of Use. Nutrivise shall provide notice to you promptly of any such claim, suit, or proceeding and shall assist you, at your expense, in defending any such claim, suit or proceeding.
Governing Law
You acknowledge and agree that the Web Site shall be governed by the laws of the State of California. You hereby agree and confirm that your use of the Web Site and all of the communications, transmissions and transactions associated with the Web Site shall have occurred in the State of California and that you submit to the non-exclusive jurisdiction of the courts of the State of California as the proper and most convenient forum concerning the Web Site. 
You agree to submit to the personal jurisdiction of the state courts and federal courts located within Santa Clara County, California for the purpose of litigating all such claims or disputes. Notwithstanding the foregoing, we may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.
The Web Site shall not be used where, and to any extent, such use is prohibited by law. Your use of the Web Site from any location is subject to your compliance with all applicable laws and regulations that may be applicable to you. 
Entire Agreement and Revisions
These Terms of Use and any other legal notices on the Web Site constitute the entire agreement between you and Nutrivise with respect to the use of the Web Site and the Materials. Nutrivise reserves the right to revise these Terms of Use at any time and for any reason without notice or obligation to you. 
Severability
If any provision of the Terms of Use is found to be invalid by any court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of the Terms of Use, which shall remain in full force and effect. No waiver of any provision of the Terms of Use shall be deemed a further or continuing waiver of such provision or any other provision.
